Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Manoa, Inc. ("Manoa," "we," "us," or "our"), including manoa.health and the Manoa application (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for licensed healthcare professionals and authorized members of their practices. You are responsible for the accuracy of information you provide and for all activity under your account. Keep your credentials confidential and notify us immediately of any unauthorized use.
2. Description of Service
Manoa provides clinical decision-support tools that surface treatment options and coverage information to assist licensed clinicians. The Service is informational and is intended to support, not replace, your professional judgment.
3. Not Medical Advice; Not a Medical Device
The Service does not provide medical advice and is not a medical device. Information surfaced by the Service is not a substitute for professional medical judgment, diagnosis, or treatment. You are solely responsible for clinical decisions you make and for verifying any information before acting on it. Coverage and benefit information may be incomplete, out of date, or inaccurate; always confirm with the patient's plan and payer.
4. Acceptable Use
You agree not to:
- Use the Service in violation of any law, regulation, or third-party right
- Use the Service to provide medical advice to patients you have not personally evaluated
- Reverse engineer, scrape, or attempt to extract source code, models, or training data from the Service
- Interfere with the Service's operation, security, or integrity
- Upload content containing malware or that infringes another's rights
- Share account credentials, or impersonate another person or entity
- Use the Service to harass, defame, or harm others
5. Your Content
You retain ownership of information you submit to the Service ("Your Content"). You grant Manoa a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content solely to operate, maintain, and improve the Service. Where Your Content includes Protected Health Information, our handling is governed by the applicable Business Associate Agreement and HIPAA.
You represent that you have the rights necessary to submit Your Content and that doing so does not violate any law or third-party right.
6. Intellectual Property
The Service, including all software, content, design, and trademarks, is owned by Manoa or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms.
7. Third-Party Services
The Service may link to or integrate with third-party services. We are not responsible for the availability, content, or practices of third parties. Your use of third-party services is governed by their terms.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION WILL BE COMPLETE OR ACCURATE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MANOA OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted.
10. Indemnification
You agree to indemnify and hold harmless Manoa and its affiliates from any claim, demand, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party right, or Your Content.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits any rights you have under mandatory law that cannot be waived by contract.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. Material changes will be communicated through the Service or by email.
